Per the course notes in week 1 Article 3 of the UCC provides guidance for negotiable instruments, which are “forms of commercial paper (such as checks) that are transferable among businesses and individuals and represent a promise to pay a specified amount.” (Nickels, McHugh, and McHugh, 2013, p A-9). The UCC outlines the four conditions that must be met for a negotiable instrument to be valid. the four conditions are as follows: 1) the maker or drawer who is the person who prepares a negotiable instrument must write and sign it. 2) the negotiable instrument must be payable on demand or specify a certain time for payment. 3) the maker or drawer must make it payable to the bearer which is the person who holds the negotiable instrument once its prepared. 4) the negotiable instrument must include an unconditional promise that the maker or drawer will pay a specified sum of money to the bearer. Requirements such as these set forth in the UCC help ensure that businesses can operate across state lines and that transactions will occur smoothly in a way that protects the rights of both businesses and consumers.
